These Terms and Conditions ("Terms") govern your use of the Transactio transaction coordination platform and related services, including SMS messaging, operated by Transactio ("we," "us," or "our"). By using our services, you agree to be bound by these Terms.

1. Description of Service

Transactio is an AI-powered transaction coordination platform for real estate professionals. Our services include:

  • Transaction coordination and management
  • AI-assisted document drafting and review
  • Deadline tracking and reminders
  • Multi-party communication facilitation
  • SMS-based notifications and interactions

2. Eligibility

You must be at least 18 years of age and a licensed real estate professional or authorized representative of a real estate brokerage to use our services. By using Transactio, you represent that you meet these requirements.

3. Account and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. SMS Messaging Terms

SMS Program Details

  • Program Name: Transactio Transaction Notifications
  • Message Frequency: Message frequency varies based on your active transactions. You may receive multiple messages per day during active transaction periods.
  • Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier and plan.
  • Supported Carriers: Compatible with all major U.S. wireless carriers.

By providing your phone number and using our platform, you consent to receive transactional SMS messages related to your real estate transactions, including but not limited to:

  • Deadline reminders and alerts
  • Transaction status updates
  • Document upload and review links
  • Responses to your inquiries

Opt-Out Instructions

You can opt out of SMS messages at any time by texting STOP to the number from which you received the message. After opting out, you will receive a confirmation message and will no longer receive SMS messages from Transactio. Note that opting out of SMS may limit your ability to receive time-sensitive transaction updates.

5. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of applicable real estate regulations.
  • Submit false, misleading, or fraudulent transaction information.
  • Attempt to gain unauthorized access to the platform or other users' accounts.
  • Interfere with or disrupt the platform's functionality.
  • Use the platform to transmit unsolicited commercial messages.

6. Intellectual Property

All content, features, and functionality of the Transactio platform, including but not limited to software, text, graphics, logos, and AI-generated outputs, are owned by Transactio and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our platform without our express written consent.

7. Transaction Documents

Documents generated or processed through Transactio are provided as drafts and tools to assist in real estate transactions. You are responsible for reviewing all documents for accuracy and legal compliance before execution. Transactio does not provide legal advice, and AI-generated documents should be reviewed by qualified professionals.

8. Limitation of Liability

To the maximum extent permitted by law, Transactio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of Transactio, including but not limited to:

  • Errors or omissions in AI-generated documents or communications.
  • Missed deadlines or failed message delivery.
  • Unauthorized access to your account or data.
  • Any losses resulting from reliance on the platform's outputs.

9. Indemnification

You agree to indemnify and hold harmless Transactio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the platform or violation of these Terms.

10. Termination

We may suspend or terminate your access to Transactio at any time, with or without cause, upon notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the platform ceases, though provisions that by their nature should survive termination will remain in effect.

11. Privacy

Your use of Transactio is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of the platform after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
